5. Enquiries and Proposals

Submitting a contact form, WhatsApp message, or email enquiry does not create a binding contract. Any quote or proposal we provide is valid only for the period stated in that document and is subject to acceptance in writing and, where applicable, payment of a deposit or signing of a formal agreement.

6. Fees and Payment

Unless otherwise agreed in writing, project fees, payment schedules, currency, taxes, and late payment terms will be set out in your project agreement. You are responsible for any applicable taxes, bank charges, or transfer fees unless explicitly stated otherwise.

We may suspend work on overdue accounts until outstanding amounts are settled.

7. Client Responsibilities

To enable successful delivery, you agree to:

• Provide accurate information, timely feedback, and required content or access.
• Appoint a point of contact with authority to make project decisions.
• Review deliverables within agreed review periods.
• Ensure you have the right to provide any materials, data, logos, or intellectual property supplied to us.

8. Intellectual Property

Unless otherwise agreed in writing, ownership of custom deliverables created specifically for you will transfer upon full payment of all agreed fees. Majhub Solutions retains ownership of pre-existing tools, frameworks, templates, methodologies, and general know-how used in delivering services.

We may display completed work in our portfolio, case studies, or marketing materials unless you request otherwise in writing before project completion.

Website content, branding, graphics, and materials created by Majhub Solutions for itself remain our intellectual property and may not be copied or reused without permission.

9. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information received from the other party, except where disclosure is required by law or necessary to perform the services. Confidentiality obligations survive termination of the business relationship.

10. Warranties and Disclaimers

We warrant that services will be performed with reasonable skill and care in accordance with the agreed scope. Except as expressly stated in a signed agreement, our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

We do not guarantee uninterrupted website availability, specific business outcomes, search engine rankings, or third-party platform performance.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Majhub Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.

Our total liability arising out of or relating to any project or use of the website shall not exceed the total fees paid by you to Majhub Solutions for the specific service giving rise to the claim during the twelve (12) months preceding the event, unless a different limit is set out in a signed agreement.

12. Termination

Either party may terminate a project in accordance with the termination provisions in the applicable service agreement. We may suspend or terminate website access or communications where these Terms are breached or where necessary to protect our systems or users.

13. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Kenya, unless the parties agree otherwise in writing.
